1. PRICE :

1.1 All prices including delivery are as per the terms stated in thequotations without any deductions or retentions whatsoever, unless otherwise agreed in writing between the Seller and the Buyer.

1.2 Pricing for undelivered goods may be increased in the event of war, civil commotion, strikes, floods, currency exchange fluctuations, increase in material costs by suppliers or any other causes beyond the Seller’s reasonable control, Seller shall have the right to increase

the contract price to cover such changes and promptly notify Buyer in writing of such price change.

1.3 The Seller shall not be bound by any condition, rebate or any other matters, which are not expressly contained in this contract.

2. SPECIFICATIONS :

2.1 All goods are sold subject to manufacturers’ warranty only, and in accordance with manufacturers’ specifications at the date of shipment of the goods from the factory.

2.2 If, for any reason whatsoever, the manufacturers make any changes in their specifications or model(s), or discontinue the

production of the model(s) sold under this Contract resulting in the Seller being unable to make delivery thereof, the Seller shall not be liable to the Buyer but shall, in any such case, deliver to the Buyer the current model closest in line to the model ordered which is available for delivery in Hong Kong and the Buyer shall be bound to take delivery and to pay the purchase price for new model (including any increase by reason of any increase in the manufacturer’s price or other circumstances referred to in Condition 3.4 hereof).

2.3 If the manufacturers make any changes in their specifications

or model(s) or discontinue the production of the model(s) ordered and the Seller is unable to make delivery of the model ordered or another available model which is close in line thereto, this Contract shall be rendered void and any deposit paid shall be refunded to the Buyer without interest, costs or compensation.

3 DELIVERY :

3.1 Delivery period quoted shall commence from receipt of official

order, deposit payment if any, full payment, and all necessary drawings.

3.2 The Seller reserves the right to make delivery of the goods by

installment and invoice separately for each delivery.

3.3 The Seller shall not be liable for delay arising from causes beyond its reasonable control or caused by civil commotion, war, fires, epidemics, floods, typhoons, lockouts, Government Prohibitions, restrictions, requisitions, supplier delay delivery, or any Government action of whatsoever nature, scarcity of tonnage, breakdown of machinery or by the detention or deviation delay owing to any cause whatsoever of the steamer by which goods are shipped. If the arrival of the goods or any portion thereof be delayed owing to the above causes the Buyer shall nevertheless take delivery of any, pay for the same on arrival according to the terms hereof. Should the goods be lost in transit this Contract shall be considered null and void, and the Buyer shall have no claim whatsoever against the Seller.

3.4 The Buyer shall take delivery of the goods within one (1) weeks from the date of notification by the Seller that the goods is

ready for delivery. Otherwise, the Seller may pursue remedy by

charging the Buyer for the costs of storage, together with any other reasonable incidental costs until actual delivery is effected.

3.5 If the space at the delivery address gate, freight elevator, corridor, etc. is small and the packaged goods cannot be entered, only delivery services will be provided to the ground, parking lot or door location. No unpacking service is provided.

3.6 Goods in stock will not be reserved in advance if the buyer has not paid for them. In-stock items are available on a first-come, first-served basis.

4. ACCEPTANCE AND ACKNOWLEDGEMENT OF GOODS

Any goods shall be deemed inspected and/or accepted by the Buyer within 24 hours after receipt. In the absence of written acceptance, an acceptance of any goods or services by the Buyer shall constitute an agreement of these terms and conditions herein.

5. TERMS OF PAYMENT :

5.1 Terms of payment are as specified in the quotation. Overdue accounts will be charged interest at the rate of 2% per month or part thereof.

5.2 Notwithstanding anything herein contained the Seller has the option of demanding payment for the said goods or any portion thereof before delivery is made to the Buyer.

5.3 The Seller shall retain ownership of the goods delivered until full payment has been received.

6. WARRANTY :

6.1 The Seller warrants that at the time of delivery any goods will be free from defects in materials and workmanship only to the extent of and by the original manufacturers’ warranty to the Seller.

6.2 The Seller’s warranty is solely as stated in the quotation, and does not apply or extend to : ordinary wear and tear; altered units; units repaired by person not expressly approved by Seller; materials not obtained from Seller; or damaged caused by accident; abuse, misuse or overloading or by jobsite conditions.

7.CLAIM

No claims for shortages, errors or defects will be valid unless such claims are made in writing to the Seller within one (1) day from receipt of any goods. The Buyer’s acceptance or use of the goods shall constitute Buyer’s waiver of any and all such claims regardless of the cause.

8. CANCELLATION

Cancellation or change to this contract shall not be valid without the Seller's prior written consent. In the event the Buyer defaults or refuses to accept delivery of any goods, the Seller shall be entitled to recover from the Buyer an amount equal to all of Seller’s damages (including appropriate cancellation and restocking charge) for such non-acceptance.
